    1. Introduction and Acceptance

    Welcome to Linmine ("we," "us," or "our"), an AI-powered content studio for LinkedIn accessible at linmine.com and its subdomains (the "Service"). These Terms of Service ("Terms") govern your access to and use of the Service.

    By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

    If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

    1.1 Our Commitment to Your Privacy

    For our full commitment to data privacy, please see our Privacy Policy §1.1.

    2. Definitions

    • "Account" means your registered Linmine account.
    • "Content" means any text, images, audio, data, or other materials you submit to or create through the Service.
    • "AI-Generated Content" means any content produced by our AI features, including but not limited to post enhancements, virality analysis, profile audits, and avatar generation.
    • "Credits" means the units of usage that are consumed when you use certain features of the Service.
    • "Plan" means the subscription tier you have selected (Free Trial, Starter, Pro and Agency).
    • "LinkedIn Data" means any data retrieved from LinkedIn through your authorized connection, including profile information, posts, and engagement metrics.

    3. Description of Service

    Linmine provides an AI-powered platform for creating, enhancing, scheduling, and publishing LinkedIn content. The Service includes:

    • AI-powered content creation and enhancement using third-party AI models
    • LinkedIn post scheduling and direct publishing
    • LinkedIn profile and post analytics
    • Voice-to-text transcription for content creation
    • Document and image-based content generation
    • Custom writing style management
    • AI-generated profile avatar creation
    • Virality analysis and content optimization

    Linmine is an independent product and is not endorsed, certified, or affiliated with LinkedIn Corporation. Your use of LinkedIn through our Service remains subject to LinkedIn's own terms and policies.

    4. Account Registration

    To use the Service, you must:

    • Be at least 16 years of age
    • Provide accurate and complete registration information
    • Maintain the security of your account credentials
    • Promptly notify us of any unauthorized access to your account

    You may register using your email address and password, or through LinkedIn or Google authentication. You are responsible for all activity that occurs under your account.

    We offer optional two-factor authentication (2FA) for additional account security. We strongly recommend enabling it.

    5. Subscription Plans, Billing, and Credits

    5.1 Plans

    The Service is offered through tiered subscription plans (Free Trial, Starter, Pro and Agency), each with different usage limits and credit allocations. Current plan details and pricing are available on our website.

    5.2 Billing

    Paid subscriptions are billed in advance on a monthly or annual basis in US Dollars (USD) through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge the payment method on file for recurring fees until you cancel.

    Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

    5.3 Credits

    Certain features consume Credits. Each plan includes a monthly Credit allocation that resets at the start of each billing cycle. Unused plan Credits do not roll over.

    You may purchase additional Credit packs separately. Purchased (bonus) Credits do not expire and are not affected by monthly resets.

    Linmine reserves the right to adjust the Credit cost of specific AI features (e.g., generation, analysis, audits) based on the computational resources required. Users will be notified of any significant changes to credit pricing within the Service interface.

    5.4 Plan Changes

    You may upgrade or downgrade your plan at any time.

    Upgrades: Take effect immediately with prorated charges for the remaining billing period. Your monthly Credit allocation increases immediately.

    Downgrades: Take effect at the next billing cycle. If your new plan has a lower monthly Credit allocation than your current usage, you may not be able to use certain features until the next billing cycle. Purchased (bonus) Credits remain available.

    Note: Downgrading does not entitle you to a refund for unused Credits from your previous plan allocation.

    5.5 Price Changes

    We may change our prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period. Continued use of the Service after a price change constitutes acceptance of the new price.

    5.6 Taxes

    All fees are exclusive of applicable taxes (such as VAT or sales tax) unless otherwise stated. You are responsible for any taxes that may apply to your purchase based on your jurisdiction. Our payment processor will automatically calculate and collect these taxes where required by law.

    6. Free Trial

    New users may be eligible for a limited free trial. The trial provides access to the Service with a limited Credit allocation for a specified duration. Each person is entitled to one free trial only.

    At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We will not charge you automatically at the end of the trial.

    7. Cancellation and Refunds

    7.1 Cancellation

    You may cancel your subscription at any time through the Stripe customer portal or by contacting us. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period. After that, your account will revert to the Free trial.

    7.2 Refund Policy

    All subscription purchases are generally non-refundable. However, we may consider refund requests in the following circumstances:

    1. Technical Issues: If the Service is unavailable or non-functional due to our error for more than 48 consecutive hours, and we are unable to resolve the issue
    2. Billing Errors: If you were charged incorrectly due to a system error
    3. Subscription Cancellation Window: Within 48 hours of initial purchase, if you have used less than 10% of your monthly Credit allocation

    Refunds are NOT available for:

    • Change of mind after the 48-hour window
    • Credits that have already been consumed
    • Purchased Credit packs (once any Credits from the pack have been used)
    • Subscription downgrades or cancellations after the 48-hour window
    • Account terminations due to Terms of Service violations

    To request a refund, contact [email protected] with your account email and order number. We will respond within 5 business days. If approved, refunds are processed within 10 business days to the original payment method.

    8. User Content

    You retain all ownership rights to the Content you submit to the Service. By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, process, store, and display your Content solely for the purpose of providing and maintaining the Service.

    You represent that you have the necessary rights to all Content you submit and that your Content does not violate any third party's rights.

    We do not claim ownership of your Content. When you delete your Content or your account, we will remove your Content from our active systems, subject to our data retention obligations described in our Privacy Policy.

    9. AI-Generated Content

    The Service uses third-party AI models (including Google Gemini and other providers) to generate, enhance, and analyze content. Regarding AI-Generated Content:

    Ownership: You own the AI-Generated Content created through your use of the Service, subject to the following:

    • Third-Party Rights: AI-Generated Content may inadvertently include elements similar to copyrighted works, as AI models are trained on large datasets. You are responsible for ensuring any published content does not infringe third-party rights.
    • Non-Exclusive: We do not claim ownership of AI-Generated Content, but because AI models may produce similar outputs for different users given similar prompts, we cannot guarantee exclusive or unique content.
    • License to Us: You grant Linmine a limited, non-exclusive, worldwide license to:
      • Store and process your AI-Generated Content to provide the Service
      • Display your AI-Generated Content back to you in the Service interface
      • Create thumbnails and previews for your content
      • Use anonymized, aggregated data about content performance for analytics

      This license terminates when you delete the content or your account, except for content retained in encrypted backups (max 30 days).

    • No Training: We do not use your Content or AI-Generated Content to train, fine-tune, or improve AI models, either our own or third-party models.

    No guarantees: AI-Generated Content is provided "as is." We do not guarantee its accuracy, completeness, originality, or suitability for any purpose.

    Your responsibility: You are solely responsible for reviewing, editing, and approving any AI-Generated Content before publishing or using it. You assume all liability for content you choose to publish.

    Potential similarity: AI-Generated Content may be similar to content generated for other users or content available elsewhere. We do not guarantee uniqueness.

    10. LinkedIn Integration

    The Service allows you to connect your LinkedIn account to enable posting, analytics, and profile features. When you connect your LinkedIn account:

    • You authorize us to access your LinkedIn profile information (name, email, profile picture) and to publish content on your behalf.
    • Your LinkedIn access tokens are encrypted and stored securely.
    • You remain solely responsible for complying with LinkedIn's User Agreement and policies.
    • We are not liable for any actions LinkedIn takes regarding your account, including suspension or restriction, as a result of content published through our Service.
    • You may disconnect your LinkedIn account at any time through your account settings.

    10.1 Agency Use and Data Processing Agreement (DPA)

    If you use the Service on behalf of third-party clients (Agency Hub), you represent that you have obtained all necessary consents from such clients to process their data. Your use of the Service in this capacity is subject to our Data Processing Agreement (DPA), which is incorporated herein by reference.

    10.2 User Representations

    By using the Service, you represent and warrant that:

    1. You are at least 16 years of age and have the legal capacity to enter into these Terms
    2. All registration information you submit is truthful, accurate, and complete
    3. You will maintain the accuracy of such information
    4. You have full authority to bind any organization on whose behalf you are using the Service
    5. Your use of the Service complies with all applicable laws and regulations
    6. You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all Content you submit
    7. Your Content does not infringe any third party's intellectual property rights
    8. You will not use automated means (bots, scripts, scrapers) to access the Service except through our official API
    9. You acknowledge that Linmine is not affiliated with, endorsed by, or certified by LinkedIn Corporation
    10. You acknowledge that LinkedIn Corporation sets its own policies regarding third-party tools, and that you are solely responsible for reviewing LinkedIn's User Agreement. Linmine makes no warranty regarding LinkedIn's approval of any particular use.

    You acknowledge that violation of these representations may result in immediate account termination without refund.

    11. Acceptable Use

    You agree not to use the Service to:

    • Violate any applicable laws, regulations, or third-party rights
    • Violate LinkedIn's Terms of Service or any other platform's terms
    • Generate, publish, or distribute content that is illegal, defamatory, harassing, threatening, hateful, or discriminatory
    • Generate spam, misleading content, or content designed to deceive
    • Impersonate any person or entity, or misrepresent your affiliation
    • Attempt to circumvent usage limits, Credits, or security measures
    • Reverse engineer, decompile, or disassemble any part of the Service
    • Use automated means (bots, scrapers) to access the Service beyond its intended functionality
    • Interfere with or disrupt the Service or its infrastructure
    • Share your account credentials or allow unauthorized access
    • Use the Service to generate content that infringes intellectual property rights
    • Use the Service for any activity that could harm minors
    • Attempt to exploit any bugs or vulnerabilities in the Credit system to obtain unauthorized usage.

    We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

    11.1 Fair Use and Service Limits

    To ensure quality of service for all users, we enforce the following limits:

    Rate Limits:

    • API requests: Maximum 100 requests per minute per account
    • AI Content Generation: Maximum 50 generations per hour
    • LinkedIn Post Publishing: Maximum 20 posts per day
    • Voice Transcription: Maximum 60 minutes per day

    Abuse Prevention:

    We reserve the right to temporarily or permanently suspend accounts that:

    • Attempt to circumvent rate limits through technical means
    • Use the Service to generate spam or bulk automated content
    • Create multiple accounts to bypass usage limits
    • Cause excessive load on our infrastructure

    12. Intellectual Property

    The Service, including its design, software, logos, and documentation, is owned by Linmine and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

    If you provide us with feedback, suggestions, or error reports, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use and incorporate that feedback into the Service without any obligation to you.

    13. Third-Party Services

    The Service integrates with and relies on third-party services, including but not limited to:

    • LinkedIn — for OAuth authentication, profile data, and post publishing
    • Google — for OAuth authentication and AI content generation (Gemini)
    • Stripe — for payment processing and subscription management
    • Deepgram — for voice-to-text transcription
    • Resend — for transactional email delivery
    • Cloudflare — for file storage and content delivery

    Third-Party Service Availability:

    The Service depends on these third-party services. If any third-party service experiences downtime, rate limiting, or discontinues their service, certain features of Linmine may be temporarily unavailable or permanently affected.

    We are not responsible for:

    • LinkedIn restricting or suspending your account
    • Stripe declining payments or holding funds
    • AI providers (Google Gemini) refusing to process certain content
    • Changes to third-party APIs that affect our functionality
    • Third-party data breaches or security incidents

    We will make reasonable efforts to find alternative providers if a critical service becomes unavailable, but we do not guarantee uninterrupted service.

    Third-Party Terms:

    Your use of LinkedIn through our Service remains subject to LinkedIn's User Agreement and Professional Community Policies. We strongly recommend reviewing these policies to understand what content and automation practices LinkedIn permits.

    14. Privacy

    Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.

    15. Disclaimer of Warranties

    The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    We do not warrant that:

    • The Service will be uninterrupted, error-free, or secure
    • AI-Generated Content will be accurate, complete, or suitable for your needs
    • The Service will be compatible with any specific LinkedIn features or policies
    • Any defects or errors will be corrected in a specific timeframe

    16. Limitation of Liability

    To the maximum extent permitted by applicable law, Linmine and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

    Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to us in the six (6) months preceding the claim, or (b) one hundred US Dollars (USD $100).

    Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

    17. Indemnification

    You agree to indemnify, defend, and hold harmless Linmine and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

    • Your use of the Service
    • Content you create, publish, or distribute through the Service
    • Your violation of these Terms
    • Your violation of any third-party rights, including LinkedIn's terms
    • Any claim that your Content caused damage to a third party

    18. Termination

    You may terminate your account at any time by using the account deletion feature in your settings or by contacting us.

    We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent or abusive activity, or if required by law. We may also terminate or modify the Service at any time with reasonable notice.

    Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to Sections 8, 9, 12, 15, 16, 17, and 20) will survive.

    19. Changes to These Terms

    We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 15 days before the changes take effect.

    Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.

    20. Governing Law and Disputes

    These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

    Any disputes arising out of or related to these Terms or the Service shall be resolved in accordance with the dispute resolution process set forth in Sections 20.2 through 20.4 below, beginning with informal resolution, followed by binding arbitration if informal resolution fails. The courts of the Province of Ontario retain jurisdiction solely for the purpose of enforcing arbitration awards and for claims where injunctive or equitable relief is sought.

    20.2 Informal Resolution

    Before filing any formal dispute, you agree to contact us at [email protected] to attempt informal resolution. We will attempt to resolve within 30 days.

    20.3 Binding Arbitration

    If informal resolution fails, disputes shall be resolved through binding arbitration administered by the ADR Institute of Canada in accordance with its Arbitration Rules, conducted in English in Ontario, Canada.

    Exceptions: Either party may seek injunctive relief or file in small claims court.

    20.4 Class Action Waiver

    YOU AND LINMINE AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION.

    20.5 Limitation on Claims

    Any claim must be commenced within one (1) year after the cause of action accrues. Otherwise, such claim is permanently barred.

    21. General Provisions

    • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Linmine regarding the Service.
    • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
    • No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
    • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
    • Force Majeure: We shall not be liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, internet outages, or third-party service disruptions.

    21.1 Electronic Signatures and Communications

    By using the Service, you consent to receive communications from us electronically, including via email, in-app notifications, or by posting notices on the Service.

    You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

    You agree that your electronic acceptance of these Terms (by clicking "I Agree" or by using the Service) constitutes your legally binding signature and agreement to be bound by these Terms, equivalent to a handwritten signature.
